ALMINDELIGE FORRETNINGSBETINGELSER

1. Generelt

Homerun MEDIA ApS samt beslægtede selskaber benævnes i det følgende ”Homerun”. Disse forretningsbetingelser finder anvendelse, og accepteres automatisk af kunden ved indgåelse af en aftale eller ordre i det omfang andet ikke er aftalt i en skriftlig aftale mellem Kunden og Homerun. Det er kundens ansvar at jævnlig at holde sig orienteret om eventuelle ændringer i nærværende betingelser. Nyeste betingelser ændringer ligger altid tilgængelig på Homeruns hjemmeside.

2. Ordrer

Alle ordrer bør afgives skriftligt. Såfremt ordrer afgives mundtligt, er Homerun ikke ansvarlig for eventuelle misforståelser vedrørende ordrens indhold. Såfremt Kunden er uenig i indholdet af en ordrebekræftelse fra Homerun, skal Homerun omgående have skriftlig meddelelse herom. Såfremt Kunden ikke har gjort indsigelse over for ordrebekræftelsen, anses ordrebekræftelsen som dokumentation for ordrens indhold. Hastetillæg på op til 50% kan tilføjes ordrer afgivet med mindre end 5 hele arbejdsdage til Homeruns afleveringsdeadline.

3. Betaling

Betaling forfalder 8 dage efter fakturaudstedelse. Efter forfaldsdato kan der påløbe 2 % i rente pr. måned beregnet fra forfaldsdato. I forbindelse med eventuelle rykkere pålægges minimum kr. 100 i administrationsgebyr. I tilfælde af manglende betaling er Homerun berettiget til at udøve tilbageholdelsesret i Kundens ejendom, herunder materiel, masters, kopier m.v., som måtte være i Homeruns besiddelse.

4. Tilbud/overslag

Medmindre andet er angivet, er Homeruns tilbud/overslag gældende i 30 dage fra afgivelsen.

5. Underleverandører

Homerun er berettiget til at lade ordren udføre helt eller delvis af underleverandører, idet Homerun er ansvarlig over for Kunden for den kontraktmæssige ydelse, jf. dog pkt. 6.

6. Homeruns ansvar

Såfremt Homerun ikke er i stand til at opfylde en modtaget ordre, returnerer Homerun hurtigst muligt det fra Kunden modtagne materiale, og Homerun pådrager sig herudover ikke ansvar over for Kunden. Homerun er ansvarlig for, at det udførte arbejde opfylder aftalte specifikationer. Homerun er dog ikke ansvarlig for fejl og mangler, der skyldes det af Kunden leverede materiale.

Såfremt der er tale om mangler, der skyldes Homeruns forhold, vil manglerne snarest blive afhjulpet af Homerun uden beregning.

Homeruns erstatningsansvar for tab som følge af mangler ved det af Homerun udførte arbejde kan ikke overstige Homeruns betaling for den mangelfulde leverance.

7. Kundens ansvar

Kunden skal straks, og inden 1 uge efter levering og/eller 1 uge fra første airdate, give skriftlig meddelelse til Homerun om eventuelle mangler/fejl med en nærmere beskrivelse af de konstaterede mangler. Tilsvarende gælder, såfremt arbejde på Kundens anmodning er leveret direkte til et tv-selskab eller anden tredjemand. Kunden har selv ansvar for at deres samarbejdspartner /kunder /trejdemand etc. ser og hører og godkender film/reklamespots/speaks etc.. Kunden har selv ansvar for at sikre sig, at de rettigheder der er aftalt, er korrekte. Ved tvivl om aftale kan evt. mail korespondance tages i betragtning. I forbindelse med bl.a. reklamespeak har kunden 14 dage til at give besked om man ikke ønsker at benytte de aftalte rettigheder – og evt. kun ønsker at betale for fremmøde og lydstudie. Efter 14 dage betales speakerne det fulde beløb af kunden.

8. Force Majeure

Homerun hæfter ikke for manglende opfyldelse af sine forpligtelser, som skyldes force majeure, herunder krig, optøjer, borgerlige uroligheder, regeringsindgreb eller indgreb af lokale myndigheder, strejke, blokade eller lockout, eksport- eller importforbud, naturkatastrofer eller dårlige vejrforhold, brand, mangel på arbejdskraft eller energiforsyning eller nogen årsag i øvrigt som ligger udenfor Homeruns kontrol og, som er egnet til at hindre Homerun i opfyldelsen.

Ovennævnte force majeure klausul er gældende, hvad enten opfyldelseshindringerne rammer Homerun selv eller af Homerun valgte underleverandører eller transportører.

9. Immaterielle rettigheder

Det er kundens ansvar, at der er indhentet de nødvendige samtykker fra rettighedshavere til værker og produkter, der anvendes i forbindelse med det arbejde, som Kunden har engageret Homerun til at udføre. Kunden bærer således det fuld ansvar iht. gældende lovgivning mht. indhold etc. Det gælder bl.a. overholdelse af den til en hver tid gældende markedsføringslov, EU lovgivning, Dansk Lov og Udenlandsk lov etc. Homerun har kun ansvar for den tekniske kvalitet og ikke indholdet.

10. Skader og forsikring

Opbevaring og transport af masters, kopier og andet materiale tilhørende Kunden sker for Kundens regning og risiko. Homerun tilråder, at Kunden etablerer forsikringsdækning vedrørende den nævnte risiko.

Homerun kan tilbyde at opbevare masters og/eller backup-sikkerhedskopier for Kunden for Kundens regning. Dette sker kun hvis Kunden vælger denne mulighed forud for produktionen.

11. Lovvalg og værneting

En eventuel tvist mellem Homerun og Kunden skal afgøres efter dansk ret, startende ved Københavns Byret.

12. Gyldighed

Disse forretningsbetingelser er gældende fra 1. juli 2014.

GENERAL CONDITIONS

1. IN GENERAL

In the following, HOMERUN MEDIA ApS Company reg. no. 35889167 and all associated companies shall be referred to as “HOMERUN”. These terms and conditions apply, and are automatically accepted by the customer upon the conclusion of an agreement or order to the extent that is not otherwise agreed in a written agreement between the Customer and Homerun. It is the customer’s responsibility to regularly keep updated of any changes to these Terms. Latest conditions changes are always available on Homerun’s website.

2. ORDERS

All orders should be placed in writing. Should orders be placed verbally HOMERUN shall not be liable for any misunderstandings regarding the contents of the order. Should the Customer disagree as to the contents of an order acknowledgement from HOMERUN, HOMERUN must immediately be advised of this fact in writing. If the Customer has not objected to the order acknowledgement, the order acknowledgement shall be considered documentation for the contents of the order. Urgent surcharge of up to 50% can be added to orders placed with less than 5 full working days before HOMERUN ‘s submission deadline.

3. PAYMENT

Payment falls due 8 days after the date of invoice, or “instant payment” if so stipulated in invoices. After the due date a monthly interest of 2 % can be accrued as of the due date. In connection with any reminders an administration fee of minimum DKK 100 is added. In case of non-payment HOMERUN is entitled to lien in the property of the Customer, including equipment, masters, copies etc., which is in HOMERUNʼs possession.

4. QUOTATIONS/ESTIMATES

Unless otherwise stated HOMERUNʼs quotations/estimates are applicable for 30 days from the date of submission.

5. SUBCONTRACTORS

HOMERUN shall be entitled to let the order be carried out fully or partly by subcontractors, and HOMERUN is liable to the Customer for contractual work, however cf. item 6.

6. HOMERUNʼS LIABILITY

Should HOMERUN be unable to fulfill a placed order HOMERUN shall return the material received from the Customer as quickly as possible, and HOMERUN shall incur no liability in extent to this towards the Customer.

HOMERUN is responsible that the work carried out complies with the specifications agreed upon. However, HOMERUN shall not be responsible for errors and deficiencies caused by the material delivered by the Customer.

Should there be deficiencies due to HOMERUNʼs work, HOMERUN shall correct the deficiencies as soon as possible without charge. HOMERUNʼs liability for damages for losses in connection with deficiencies in the work carried out by HOMERUN cannot exceed HOMERUNʼs payment for the defective delivery.

7. CLIENTS LIABILITY

The customer must immediately and within 1 week of delivery and / or 1 week from the first air date, notify Homerun in writing of any defects / errors with a detailed description of the defects found. The same applies if work at the Customer’s request is delivered directly to a broadcaster or other third party. The client is fully responsible and assure that for all material (incl. but not limited to written material, film, pictures, footage, drawings Sounds etc.) submitted to HOMERUN is not violating and/or infringing of third party rights or ownership. The client will whole HOMERUN harmless of any such claims related to such incidents. The customer is responsible for ensuring that their partner / customers / third parties etc. will see and hear and approve films / advertising spots / speaks etc. The customer is responsible for ensuring that the rights (i.e. TV-WEB- Instore etc.) agreed with the talents are correct. If in doubt about an agreement, mail correspondence is taken into account. In connection with the advertising speak the customer has 14 days to give notice if they do not want to use the agreed rights – and eventually only want to pay for attendance and sound studio. After 14 days the speakers are paid the full amount by the customer.

8. FORCE MAJEURE

HOMERUN is not liable for failure to perform their obligations if such failure is as a result of Acts of God (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of electricity or telephone service.

The above force majeure clause is valid, whether the failure to perform affects HOMERUN itself or one of HOMERUN s appointed subcontractors or carriers.

9. IP and COPYRIGHTS

The client is also fully responsible for following all rules and regulation in all territories in all countries on all media platform.

It is the customer’s responsibility to obtain the necessary consent from the right holders for work and products used in connection with the work that the Customer has engaged Homerun to perform. The customer thus bears full responsibility in accordance with applicable legislation with regard to content, etc. compliance with the marketing law in force at any given time, EU law, Danish law and foreign law etc. Homerun is only responsible for the technical quality and not the content.

10. DAMAGE AND INSURANCE

Storage and transport of masters, copies and other material belonging to the Customer takes place at the Customerʼs own expense and risk. HOMERUN advises the Customer to establish insurance protection regarding the mentioned risk.

HOMERUN can offer to store masters and/or backup safety copies for the Customer at the Customer’s own expense. This will only happen if the client chooses this option prior to production

11. LAW AND VENUE

Any dispute between HOMERUN and the Customer shall be settled in accordance with Danish law starting at the City Court of Copenhagen.

12. VALIDITY

These general conditions shall be valid as from 1 July 2014.
